Data Processing Agreement

1. Definitions

This Data Processing Agreement forms part of the Terms of Service and governs ClipIntent's processing of personal data on behalf of a customer where ClipIntent acts as processor.

2. Processing Details

ClipIntent processes personal data solely to provide the Service as described in the Terms of Service and as instructed by the customer.

3. ClipIntent's Obligations

ClipIntent processes personal data only on documented instructions, uses appropriate confidentiality and security measures, assists with data subject rights where applicable, and deletes or returns personal data as required.

4. Sub-processors

ClipIntent may use third-party sub-processors for cloud infrastructure, AI processing, authentication, payment processing, and related services under appropriate data protection obligations.

5. Customer Obligations

The customer is responsible for lawful collection and submission of personal data, required notices and consents, data accuracy, and controller obligations.

6. Data Subject Rights

Where we receive a data subject request for personal data processed on behalf of a customer, we will provide reasonable assistance as required.

7. Data Breach Notification

ClipIntent will notify customers of relevant personal data breaches without undue delay where required by applicable law.

8. International Transfers

Where personal data is transferred outside the EEA or United Kingdom, appropriate safeguards will be used where required.

9. Term and Termination

This DPA remains in effect for the duration of ClipIntent's processing of personal data on behalf of the customer.
