Terms of Service
1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of ClipIntent ("Service", "Platform", "we", "us", "our"). By accessing or using the Service, you confirm that you are at least 18 years of age, that you have read and understood these Terms, and that you agree to be bound by them.
If you are accessing or using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must not access or use the Service.
Your use of the Service is also governed by our Privacy Policy, Acceptable Use Policy, and Cookie Policy.
2. Account Registration and Security
To access certain features of the Service, you must register an account. You agree to provide true, accurate, complete, and current information, keep credentials confidential, be responsible for activity under your account, and notify us immediately of unauthorized access or any other security issue.
3. License to Use the Service
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal or internal business purposes.
ClipIntent may change, pause, limit, or withdraw features at any time, including where we identify defects, abuse, infrastructure risk, or payment/billing issues.
4. User Content
You retain ownership of content you submit to ClipIntent, and, as between you and ClipIntent, you own the clips and other outputs generated from it and may use them for any lawful purpose. By submitting content, you grant ClipIntent a worldwide, non-exclusive, royalty-free license to access, use, process, copy, store, and display that content, and to have our service providers do so on our behalf, as necessary to provide, maintain, and improve the Service. We do not use your content to train AI models without your permission.
You are solely responsible for your content, including its legality, accuracy, permissions, and compliance with third-party rights. To the extent permitted by law, you agree to defend, indemnify, and hold ClipIntent harmless from claims, losses, and expenses (including reasonable legal fees) arising from your content or your violation of these Terms.
5. Third-Party Platforms and Services
The Service may use or interact with third-party platforms, including Google and YouTube. Your use of third-party content or APIs remains subject to those third parties' terms and policies.
6. Acceptable Use
You agree not to use the Service for unlawful, harmful, infringing, deceptive, abusive, or unauthorized purposes, or to interfere with the Service, bypass security controls, or process content without required rights and permissions.
7. Intellectual Property
The Service and all related software, interfaces, graphics, logos, and materials are owned by ClipIntent or its licensors and are protected by applicable intellectual property laws.
8. Billing, Cancellation, and Refunds
Paid plans renew automatically each billing period until you cancel. You can cancel at any time in your account; cancellation takes effect at the end of the current billing period and you keep access until then. Except where required by law, fees are non-refundable and credits have no cash value, though we may provide credits or refunds at our sole discretion. Within 14 days of your first purchase of a plan or credit pack you may request a refund if you have not used the paid credits; if you are a consumer in the UK or EU with a statutory right to cancel, by using paid credits or features you ask us to start the Service immediately and we may deduct the value of what you have used. To request a refund, email support@clipintent.com from your account email with the subject "Refund request" and your receipt or invoice number. Refunds go to the original payment method, we never ask for card details, and incomplete requests may be delayed. We may change prices or plans on reasonable notice; changes apply from your next billing period.
9. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis without warranties of any kind. We do not guarantee uninterrupted service, error-free outputs, or that any transcription, analysis, or generated output will be accurate or reliable.
10. Limitation of Liability
To the fullest extent permitted by law, ClipIntent will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages arising out of your access to or use of the Service, and our total liability for any claim relating to the Service is limited to the greater of $100 or the amount you paid us in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law, and the limits in this section do not apply to your indemnification obligations.
11. DMCA and Copyright Policy
If you believe content processed through the Service infringes your copyright, contact legal@clipintent.com with sufficient information for us to review the claim.
12. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate access to the Service at any time if we reasonably believe these Terms, applicable law, or platform safety requirements have been violated. Sections that by their nature should continue after termination, including those on content responsibility, intellectual property, disclaimers, and liability, will continue.
13. Governing Law
These Terms are governed by the laws of England and Wales, unless applicable law requires otherwise.
14. Changes to Terms
We may update these Terms from time to time. If a change is material, we will notify you in the Service or by email, and may ask you to accept the new version by signing in again. By continuing to use the Service after a change takes effect, you accept it; if you do not agree, you can stop using the Service and delete your account.
